GM Gas Terms of Use and Disclaimer

These GM Gas Terms of Use (the "Agreement" or "Terms") are entered into by and between you and Good Morning Technology, LLC ("Good Morning Technology," "we," "us," the "Company," the "Platform," or the "Service Provider"). This Agreement applies to all conduct by which you access, top up, purchase, receive, use, consume, or otherwise use the GM Gas service.

GM Gas is a gas-related technical assistance service and membership consumption points accounting service provided within the GM Wallet ecosystem. GM Wallet is a non-custodial wallet. GM Gas does not change the non-custodial nature of GM Wallet and does not mean that we custody, control, manage, or assume any responsibility for managing your on-chain assets.

Please carefully read and fully understand this Agreement before using GM Gas, especially the provisions concerning the nature of membership consumption points, no refunds and no change after top-up, risks of failed gas sponsorship, blockchain transaction risks, the non-custodial wallet model, the privacy boundaries of the public gas pool, third-party services, account restrictions, disclaimers, limitation of liability, indemnification, dispute resolution, class action waiver, jury trial waiver, limitation period, export controls, sanctions, and restricted regions.

By clicking to confirm, checking an acceptance box, topping up, receiving points, using GM Gas, initiating a gas sponsorship request, submitting a transaction, consuming points, or otherwise using the service, you indicate that you have read, understood, and agreed to be bound by this Agreement.

If you do not agree to any part of this Agreement, please immediately stop accessing or using GM Gas.

1. Relationship with the GM Wallet Main Agreement

  1. This Agreement is a special supplementary agreement under the GM Wallet User Agreement and Disclaimer regarding GM Gas. This Agreement, together with the GM Wallet User Agreement and Disclaimer, Privacy Policy, risk notices, campaign rules, top-up page instructions, fee rules, third-party service descriptions, and other related rules, constitutes the entire agreement between you and Good Morning Technology, LLC regarding GM Gas.

  2. For matters relating to GM Gas, where this Agreement contains special provisions, this Agreement shall prevail. Matters not covered by this Agreement shall be governed by the GM Wallet User Agreement and Disclaimer and other related rules.

  3. This Agreement shall not be interpreted as weakening or changing the core arrangements that GM Wallet is non-custodial, that users are responsible for their own private keys and on-chain interactions, that the Platform is not a financial institution or custodian, and that the Platform does not guarantee third-party services or on-chain transaction results.

  4. If this Agreement, the GM Wallet main agreement, the Privacy Policy, page prompts, or other rules are inconsistent, the more specific terms that are more directly applicable to the relevant function shall prevail. However, provisions concerning risk allocation, disclaimers, limitation of liability, dispute resolution, sanctions compliance, and user indemnification shall, to the maximum extent permitted by applicable law, be interpreted in a manner favorable to the protection of Good Morning Technology, LLC, GM Wallet, GM Gas, and their affiliates.

2. Definitions

  1. "GM Wallet" means the non-custodial digital asset wallet products, applications, websites, interfaces, plugins, SDKs, APIs, on-chain interaction entry points, third-party service integration entry points, and related services provided by Good Morning Technology, LLC.

  2. "GM Gas" or the "Service" means the gas-related services provided within the GM Wallet ecosystem, including but not limited to gas fee estimation, gas sponsorship request processing, transaction submission assistance, transaction status display, membership consumption points top-up and deduction, gas consumption records, public gas pools, on-chain fee accounting, system resource consumption records, and other related technical services.

  3. "Good Morning Technology, LLC," "we," the "Platform," or the "Service Provider" means the contractual counterparty and operator of GM Gas, and may, depending on business arrangements, include its affiliates, authorized partners, service providers, technical support providers, and other entities authorized to participate in providing the service.

  4. "User" or "you" means any natural person, legal person, or other organization that accesses, registers for, tops up, receives, uses, consumes, or otherwise uses GM Gas.

  5. "Membership consumption points" or "points" means the internal consumption measurement units obtained by users through top-up, promotional grants, platform issuance, or other platform-recognized methods, and which may be used only within GM Gas to offset, account for, or record gas-related service consumption. Points may use USD, TRX, USDT, or other units as pricing references, but such references are used only for internal accounting and page display and shall not be deemed fiat currency, virtual currency, stablecoin, token, security, debt claim, payment instrument, stored-value instrument, or any other redeemable asset.

  6. "Gas sponsorship" means the attempt by GM Gas, within the scope of chains, networks, transaction types, wallet addresses, system conditions, available resources, and risk control rules supported by the Platform, to provide gas payment, transaction broadcasting, transaction submission, transaction relaying, or other auxiliary execution services for relevant blockchain transactions at the user's request.

  7. "Public gas pool" means shared gas resources, sponsorship addresses, transaction relays, fund pools, or other technical arrangements that GM Gas may use to improve the transaction experience, reduce the need for users to directly hold gas, and reduce unnecessary direct association between a single user and a specific gas payment address. Public gas pools are operational resources of the Platform or its partners. Users do not acquire any ownership, share, income right, refund claim, or other interest in a public gas pool by topping up, receiving, or using points.

  8. "Blockchain network" means a public or permissioned blockchain network jointly operated by third-party nodes, miners, validators, sequencers, protocol developers, RPC providers, smart contracts, bridge services, or other decentralized and third-party infrastructure.

  9. "Third-party services" means services independently provided by third parties and that may be relied upon, called, integrated, displayed, or linked by GM Gas or GM Wallet, including but not limited to blockchain networks, node services, RPC services, block explorers, cloud services, security services, audit services, payment services, risk control services, data services, wallet connection services, open-source software, cross-chain services, DApps, smart contracts, and other external resources.

  10. "Non-custodial wallet" means a wallet model in which GM Wallet does not hold, control, or custody users' private keys, seed phrases, passwords, signing authority, or on-chain assets, and users independently safeguard their private keys and seed phrases and independently bear asset management and on-chain interaction risks.

3. Service Provider and Global Service

  1. GM Gas is provided by Good Morning Technology, LLC and its authorized partners. This Agreement is entered into by you and Good Morning Technology, LLC.

  2. Good Morning Technology, LLC may, based on business arrangements, technical needs, regional restrictions, compliance requirements, infrastructure conditions, or partnership arrangements, appoint or authorize partners to participate in providing technical, node, gas, risk control, security, payment, customer support, audit, data processing, and other related services.

  3. GM Gas may be provided to users globally, but the functions, chains, networks, assets, payment methods, top-up methods, gas services, campaign rules, service scope, and third-party services available to users in different countries or regions may vary.

  4. You understand and agree that whether GM Gas is available in your country or region may be affected by local laws and regulations, regulatory policies, sanctions rules, export control rules, third-party service restrictions, blockchain network conditions, and Platform risk control rules.

  5. We have the right, based on applicable laws, regulatory requirements, sanctions rules, risk assessments, partner requirements, or business arrangements, to restrict, suspend, or terminate GM Gas for specific countries, regions, addresses, accounts, devices, transaction types, or users.

  6. You undertake that your access to and use of GM Gas complies with the laws, regulations, and regulatory requirements of your location, residence, nationality, place of registration, place of business, and all jurisdictions related to your transactions. If your region prohibits or restricts the use of the service, you shall immediately stop using it.

4. Nature of the Service

  1. GM Gas is a technical assistance service and membership consumption points accounting service. Unless we expressly state otherwise in writing, GM Gas does not constitute a bank, payment institution, clearing institution, money services business, financial institution, securities broker, investment adviser, asset custodian, trustee, agent, guarantor, exchange, stablecoin issuer, e-money issuer, or any financial service intermediary.

  2. GM Gas does not provide investment, trading, tax, legal, accounting, financial planning, asset management, asset custody, asset safekeeping, fund transfer, remittance, clearing, settlement, exchange, matching, underwriting, market-making, yield, lending, or other financial services.

  3. Gas sponsorship, transaction submission assistance, or transaction status display provided by GM Gas is only a technical assistance function for users' self-initiated on-chain transactions and does not make us the initiator, counterparty, agent, trustee, clearing party, settlement party, guarantor, or operator of any on-chain project for such transactions.

  4. Gas estimates, on-chain information, transaction status, network status, fee prompts, transaction prompts, or other information displayed by the Platform are only technical auxiliary information and do not constitute any commitment, warranty, advice, offer, endorsement, audit opinion, legal opinion, tax opinion, or investment opinion.

  5. GM Wallet is always a non-custodial wallet. We do not hold your private keys, seed phrases, passwords, signing authority, or on-chain assets, and cannot recover private keys for you, reverse on-chain transactions, freeze on-chain assets, recover misdirected assets, change blockchain network execution results, or assume asset management responsibilities.

  6. You acknowledge that use of GM Gas does not mean that the Platform reviews, endorses, guarantees, or undertakes any commitment regarding your transaction purpose, transaction counterparty, transaction content, smart contract security, token value, asset legality, transaction success rate, transaction proceeds, or transaction consequences.

5. Nature of Membership Consumption Points

  1. What users top up, receive, or obtain are only membership consumption points within GM Gas. Membership consumption points are used only for gas consumption, service consumption records, membership benefit accounting, fee offsetting, or other internal purposes permitted by Platform rules within GM Gas.

  2. Membership consumption points are not fiat currency, virtual currency, stablecoins, securities, bonds, notes, electronic money, prepaid cards, deposits, wealth management products, lending certificates, payment instruments, stored-value instruments, transferable interests, or any redeemable financial assets.

  3. A user's top-up, acquisition, or holding of membership consumption points does not mean that the user has any claim, debt claim, payment claim, refund claim, income right, dividend right, ownership right, custodial interest, security interest, fund pool share, liquidation interest, or other financial interest against Good Morning Technology, LLC, GM Wallet, GM Gas, or their partners.

  4. Membership consumption points are used only as internal business consumption records and service consumption measurement within GM Gas. Except where mandatorily required by law or otherwise agreed in writing by the Platform, Good Morning Technology, LLC does not undertake to repurchase, exchange, refund, provide change for, withdraw, redeem, or transfer membership consumption points in cash, virtual assets, stablecoins, tokens, points, gift cards, or any other form.

  5. Membership consumption points may use USD, TRX, USDT, or other units as display or pricing references, but such display is only to help users understand internal consumption standards and does not mean that users hold the corresponding currency, virtual asset, stablecoin, or any exchangeable asset.

  6. The Platform may adjust the acquisition methods, consumption rules, pricing rules, scope of application, validity period, discounts, grant rules, or service fee standards for membership consumption points based on network gas costs, on-chain congestion, third-party service costs, risk control costs, operating costs, campaign rules, and product strategy.

  7. Users shall arrange top-up amounts based on their own genuine, reasonable, and lawful usage needs. GM Gas does not recommend that users make large top-ups beyond their actual usage needs.

  8. For unused points caused by the user's own judgment, misoperation, duplicate top-up, change of plan, failure to use in time, account restriction, network unavailability, on-chain transaction failure, legal or regulatory restriction, third-party service unavailability, or any other reason not caused by the Platform's intentional misconduct or gross negligence, the Platform has no obligation to provide refunds, change, or compensation, except where mandatorily required by law.

6. Top-Up, Billing, and Consumption Rules

  1. After a successful top-up, the Platform will credit the corresponding membership consumption points to the user's account within a reasonable time. The specific arrival time may be affected by payment channels, on-chain confirmations, third-party service providers, system maintenance, risk control review, or network conditions.

  2. Users shall independently confirm the top-up amount, top-up method, payment channel, chain type, address, Memo/Tag, order information, campaign rules, and arrival instructions. Losses caused by the user's selection of the wrong chain, wrong address, wrong asset, wrong Memo/Tag, duplicate payment, misoperation, or third-party payment service issues shall be borne by the user.

  3. GM Gas gas estimates are only estimates made at the time of transaction initiation based on the current network, historical data, node return values, on-chain status, Platform algorithms, and third-party data. Actual gas consumption, service fees, transaction execution results, confirmation time, and final point deduction may differ from the page estimate.

  4. The user authorizes GM Gas to deduct corresponding points from the user's membership consumption points balance based on the gas costs, on-chain fees, third-party service fees, system resource consumption actually incurred or reasonably attributable to the service request, and the Platform's published service rules.

  5. Blockchain transactions may fail due to network congestion, gas price fluctuations, validator ordering, node abnormalities, chain reorganizations, transaction replacement, transaction rollback, smart contract execution failure, insufficient balance, insufficient authorization, contract restrictions, incorrect addresses, RPC failure, cross-chain failure, third-party service failure, risk control interception, or other reasons.

  6. Even if a transaction fails, gas already consumed on-chain, third-party fees already incurred, or necessary service resources already invested by the Platform may still be counted as consumption. GM Gas point deductions shall be based on actual consumption, on-chain records, Platform system records, third-party service records, and the service execution status reasonably determined by the Platform.

  7. Transaction failure, transfer failure, confirmation delay, on-chain rollback, the user's failure to achieve an expected purpose, or asset price changes shall not automatically constitute an obligation of the Platform to refund, compensate, retry, or provide additional payment.

  8. For duplicate point deductions, obvious abnormal point deductions, or point deductions without actual service consumption that the Platform system clearly identifies as caused by GM Gas's own technical error, the user may submit an appeal through official customer service within fifteen days after the relevant record is generated. The Platform will verify the matter based on system records, on-chain records, and third-party records and handle it within a reasonable period.

  9. The Platform may, at its discretion, handle verified abnormal point deductions by returning points, reissuing points, resubmitting the service, adjusting records, or using other reasonable methods, but shall not bear liability beyond the scope agreed in this Agreement.

7. Risks of Gas Sponsorship

  1. GM Gas will, within commercially reasonable limits and based on our available technical capabilities, system conditions, third-party resources, and network conditions, use reasonable efforts to provide users with gas sponsorship-related services.

  2. You understand and agree that no blockchain transaction is guaranteed to succeed. GM Gas cannot guarantee that any gas sponsorship request, transaction submission, transfer, contract call, cross-chain operation, authorization, signature, or on-chain operation will succeed, be confirmed in time, achieve the expected purpose, or be reversible.

  3. Factors affecting transaction results include but are not limited to blockchain network congestion, protocol upgrades, on-chain attacks, node failures, RPC abnormalities, sharp gas price fluctuations, transaction pool congestion, transaction ordering, MEV, validator or miner strategies, chain reorganizations, smart contract vulnerabilities, third-party interface abnormalities, user input errors, insufficient user assets, insufficient user permissions, target address or contract restrictions, wallet environment abnormalities, device risks, network latency, regulatory restrictions, or force majeure.

  4. GM Gas makes no guarantee regarding the success rate, confirmation speed, arrival time, asset value, transaction proceeds, counterparty performance, smart contract security, transaction purpose legality, or transaction result of any on-chain transaction.

  5. Unless mandatorily required by law or unless the Platform is finally adjudicated to have engaged in intentional misconduct or gross negligence, GM Gas shall not bear additional compensation, damages, or backstop liability to users for transaction failure, transfer failure, on-chain execution failure, gas consumed but transaction not meeting expectations, asset price fluctuations, transfers to wrong addresses, fraud, phishing, smart contract vulnerabilities, hacking, exposure of on-chain public information, or third-party service failures.

8. No Refunds, No Withdrawals, and No Change

  1. Except where mandatorily required by law, expressly provided in this Agreement, or otherwise agreed in writing by GM Gas, membership consumption points obtained after user top-up do not support refunds, withdrawals, repurchase, cash exchange, virtual asset exchange, transfer, gifting, change, or split returns.

  2. Users shall top up reasonably based on actual usage needs. The Platform has no obligation to refund or compensate for unused points resulting from personal reasons for no longer using the service, misjudgment of needs, misoperation, market changes, network changes, account restriction, service adjustment, jurisdictional restrictions, or other reasons not caused by the Platform's intentional misconduct or gross negligence.

  3. If an account is restricted, suspended, or banned due to the user's illegal or non-compliant conduct, malicious use, system attack, fraud, abuse of subsidies, circumvention of risk controls, or serious breach of this Agreement, the Platform has the right to restrict, freeze, cancel, or clear points, benefits, rewards, or rights obtained or used in violation of rules.

  4. For points obtained by users through normal top-up and not involving violations, the Platform will decide, within the scope permitted by law and controllable risk, whether to provide continued use, migration, appeal, compensation arrangements, or other handling methods based on the specific circumstances.

  5. If legal, regulatory, judicial, law enforcement, sanctions, compliance, or security reasons prevent the Platform from continuing to provide services to specific users, addresses, regions, or transaction types, the Platform has the right to suspend or terminate the relevant services. The Platform may decide how to handle unused points based on applicable laws, regulatory requirements, and actual circumstances, but shall not bear compensation liability beyond mandatory legal requirements.

9. Public Gas Pool and Privacy Boundaries

  1. GM Gas may use public gas pools, shared gas resources, transaction aggregation, transaction relaying, sponsorship addresses, data isolation, or other privacy-friendly designs to improve the transaction experience for normal users and reduce unnecessary direct association risk between a single user and a specific gas payment address.

  2. A public gas pool is only a technical and operational resource established by the Platform or its partners to provide GM Gas. Users do not acquire any ownership, claim, request right, return right, or other interest in any assets, addresses, balances, proceeds, shares, or rights in a public gas pool by topping up, receiving, or using points.

  3. A public gas pool or other privacy-friendly design does not constitute a guarantee of anonymity, untraceability, resistance to on-chain analysis, resistance to law enforcement investigation, or absolute privacy protection.

  4. Users shall not use a public gas pool or any privacy design of GM Gas to conceal illegal sources of funds, evade regulatory review, avoid law enforcement investigation, bypass sanctions, launder money, finance terrorism, commit fraud, theft, hacking, or mislead third-party on-chain analysis.

  5. Users understand and agree that blockchain transactions are public, transparent, searchable, replicable, analyzable, and difficult to delete. Anyone may query transaction hashes, addresses, balances, interacted contracts, timestamps, gas consumption, and other on-chain information through block explorers, node data, third-party analysis tools, or other public channels.

  6. GM Gas shall not bear any risk or consequence arising from blockchain transparency, third-party on-chain analysis, address association inference, public data dissemination, users' voluntary disclosure of information, or third-party data processing activities.

10. Non-Custodial Wallet and User-Borne Risks

  1. GM Wallet is a non-custodial wallet. Users independently control and safeguard their private keys, seed phrases, on-chain assets, and transaction authority.

  2. GM Wallet and GM Gas cannot and will not keep, recover, reset, or retrieve private keys, seed phrases, on-chain assets, misdirected assets, or stolen assets for users.

  3. Before initiating any on-chain transaction, users shall independently check and verify all transaction information, including but not limited to wallet addresses, recipient addresses, chain names, network types, asset types, transaction amounts, contract addresses, authorization scopes, gas settings, signature content, transaction purposes, and transaction counterparties.

  4. Once a blockchain transaction is signed, broadcast, submitted, or confirmed, it usually cannot be reversed, modified, intercepted, or refunded.

  5. Users understand and agree that blockchain addresses are anonymous or pseudonymous, the identity of transaction counterparties may be impossible to confirm, and users may encounter fraud, phishing, fake projects, malicious contracts, fake airdrops, fake customer service, authorization-based asset theft, address poisoning, or other risks.

  6. GM Wallet and GM Gas shall not be liable for any losses caused by such risks, unless such losses are directly caused by GM Wallet's or GM Gas's intentional misconduct or gross negligence and cannot be disclaimed under law.

11. User Obligations and Prohibited Conduct

  1. Users shall have full civil capacity required to use the service and shall ensure that their use of GM Gas complies with the laws, regulations, regulatory requirements, and policy restrictions of their location, residence, nationality, place of registration, place of business, and jurisdictions related to their transactions.

  2. Users shall independently check and confirm transaction information, including but not limited to wallet addresses, recipient addresses, chain names, network types, asset types, transaction amounts, contract addresses, authorization scopes, gas settings, signature content, transaction purposes, and transaction counterparties.

  3. Risks and losses caused by user input errors, selection of the wrong network, mistaken signatures, mistaken authorizations, mistaken transfers, fraud, or failure to fully verify information shall be borne by the user.

  4. Users shall not use GM Gas to engage in any illegal, non-compliant, infringing, fraudulent, malicious, abusive, or public-order-violating activities, including but not limited to money laundering, terrorist financing, sanctions evasion, illegal fundraising, fraud, phishing, theft, extortion, hacking, malicious contract calls, theft of others' assets, infringement of privacy, distribution of malware, gambling, illegal transactions, market manipulation, wash trading, traffic inflation, arbitrage attacks, risk control circumvention, batch registration, credential stuffing, subsidy abuse, consumption of Platform resources, interference with system operation, or assisting others in carrying out the foregoing.

  5. Users shall not attack, crack, reverse engineer, decompile, interfere with, bypass, or abuse GM Gas's systems, interfaces, risk controls, billing, subsidies, gas pools, node resources, or security mechanisms in any way.

  6. Users shall not impersonate GM Wallet, GM Gas, Good Morning Technology, employees, customer service representatives, partners, auditors, community administrators, or other identities to commit fraud, phishing, induce signatures, or mislead users.

  7. If we reasonably believe that a user has engaged in illegal or non-compliant conduct, malicious use, abnormal transactions, association with high-risk addresses, system attacks, risk control circumvention, fraud, subsidy abuse, harm to the Platform or third-party rights, breach of this Agreement, or conduct that may expose the Platform to legal, regulatory, reputational, or security risks, we have the right to take one or more of the following measures without prior notice: refuse service, delay processing, require supplemental verification, restrict functions, freeze points, suspend accounts, ban accounts, revoke benefits, cancel campaign eligibility, preserve relevant records, report to relevant authorities, or cooperate with investigations in accordance with law.

  8. If the user's violation of this Agreement or laws and regulations causes GM Wallet, GM Gas, Good Morning Technology, LLC, its affiliates, partners, employees, other users, or third parties to suffer losses, claims, penalties, investigations, expenses, or liabilities, the user shall be responsible for indemnifying, defending, and holding them harmless, including reasonable attorney's fees, investigation costs, evidence collection costs, litigation costs, arbitration costs, and other enforcement costs.

12. Fair Use

  1. GM Gas follows a default good-faith principle and provides ordinary users with convenient, reasonable, and lawful gas technical assistance services, and within reasonable limits assumes that users use the service for genuine, lawful, and good-faith purposes.

  2. The default good-faith principle does not mean that the Platform waives any right to risk control, compliance or security review, access restriction, service suspension, investigation, reporting, law enforcement assistance, accountability, or remedies.

  3. Users shall also use GM Gas in good faith, honestly, lawfully, and prudently, and shall not use system vulnerabilities, billing errors, campaign rule loopholes, abnormal gas estimates, on-chain congestion, interface abnormalities, or third-party abnormalities to obtain improper benefits.

  4. If user conduct clearly exceeds normal fair use or involves batch consumption, abnormal arbitrage, malicious requests, subsidy abuse, resource attacks, system interference, or other risks, the Platform has the right to take necessary measures based on good-faith judgment, including limiting request frequency, adjusting point deduction rules, suspending service, freezing points, or terminating accounts.

13. Privacy Protection and Data Use

  1. These Terms apply only to GM Gas. If these Terms conflict with the GM Wallet Privacy Policy, the GM Wallet Privacy Policy shall prevail. However, for specific data processing scenarios of GM Gas, this section may serve as a special explanation.

  2. GM Gas respects and protects user privacy. We will take necessary technical and management measures within commercially reasonable limits to protect user information security and will process information related to the service in accordance with the principles of legality, legitimacy, necessity, minimization, and transparency.

  3. To provide GM Gas, complete points accounting, process transaction requests, maintain system security, identify abnormal conduct, fulfill compliance obligations, resolve disputes, and improve services, we may process the following information: account identifiers, device information, network information, IP addresses, operation records, top-up records, points consumption records, wallet addresses, chain IDs, transaction hashes, transaction status, gas estimation and consumption data, risk tags, customer service records, and information you voluntarily submit.

  4. We will not use your wallet address, account information, and transaction information for unrelated commercial marketing purposes, will not sell your personal information, and will not actively associate or externally disclose your identity information with your wallet address unless necessary.

  5. To the extent necessary for providing services, security risk control, anti-fraud, technical troubleshooting, audit, compliance, dispute resolution, legal proceedings, regulatory requirements, or protection of the legitimate rights and interests of the Platform and third parties, we may process, associate, retain, or disclose relevant information within the minimum necessary scope.

  6. We will not sell or rent users' personal information to third parties for marketing purposes. We may provide necessary information to cloud service providers, node service providers, RPC service providers, security service providers, audit institutions, payment service providers, customer service systems, data processing service providers, affiliates, professional advisers, regulators, judicial authorities, or law enforcement authorities, but only to the extent necessary to achieve the purposes of this Agreement, fulfill legal obligations, maintain security, resolve disputes, or protect legitimate rights and interests.

  7. We will retain relevant records according to business needs, legal requirements, audit requirements, dispute resolution, and security risk control purposes. For on-chain public information, due to the immutable and publicly replicable technical characteristics of blockchain, we cannot delete or modify data that has been recorded on-chain.

  8. Users may request access, correction, deletion, or withdrawal of consent in accordance with applicable law. We will handle such requests within the scope permitted by law and technically feasible, but such requests do not affect information processing previously carried out based on user consent or other lawful bases, nor do they affect our continued retention of necessary information to fulfill legal obligations, conduct security risk control, audit, handle disputes, or protect legitimate rights and interests.

  9. If users access or use GM Gas through third-party wallets, browsers, RPCs, nodes, payment channels, on-chain analysis tools, identity verification tools, or other third-party services, such third parties may process user information according to their own privacy policies. GM Wallet and GM Gas do not control third-party information processing activities and are not responsible for third-party privacy policies, data security, or information processing consequences.

  10. Users understand and agree that, to the extent required by law, regulation, law enforcement, sanctions, anti-money laundering, anti-fraud, security audit, system protection, or dispute resolution, GM Wallet and GM Gas may retain, use, analyze, disclose, or submit information relating to user accounts, devices, transactions, addresses, points, top-ups, and usage behavior.

14. Security Standards, Audits, and Hacking Risks

  1. GM Gas values security and will continuously improve system security through access controls, encrypted transmission, access audits, risk control strategies, vulnerability remediation, system monitoring, emergency response, internal audits, external security audits, and other measures.

  2. We may periodically or from time to time engage third-party security institutions, audit institutions, or professional advisers to audit, test, or evaluate relevant systems, smart contracts, business processes, or security controls.

  3. Users understand and agree that no internet system, blockchain network, wallet software, smart contract, node service, third-party interface, or encryption technology can guarantee absolute security. Blockchain and digital asset-related services involve high technical risks and hacking risks.

  4. Third-party audits, security testing, vulnerability remediation, risk control systems, or security measures do not constitute a guarantee by the Platform that systems are absolutely secure, free of vulnerabilities, free of attack risks, or free of asset loss risks.

  5. Unless mandatorily required by law or unless GM Gas is finally adjudicated to have engaged in intentional misconduct or gross negligence, GM Gas shall not be liable for asset losses, points losses, transaction failures, data breaches, or other damages caused by hacking, malware, phishing websites, device infection, private key leakage, seed phrase leakage, mistaken user signatures, smart contract vulnerabilities, third-party service vulnerabilities, on-chain attacks, node failures, network attacks, unavoidable system risks, or other reasons not reasonably within the Platform's control.

  6. Users shall independently take sufficient security measures, including but not limited to properly safeguarding private keys and seed phrases, downloading wallets through official channels, verifying domains and contract addresses, authorizing cautiously, regularly checking device security, not disclosing verification codes, private keys, seed phrases, or signing authority to anyone, not clicking suspicious links, and not using compromised or risky devices.

  7. If GM Gas discovers security risks, abnormal transactions, suspicious addresses, vulnerability exploitation, attacks, or other circumstances that may harm users, the Platform, or third-party rights and interests, we have the right to take emergency measures without prior notice, including but not limited to suspending services, restricting accounts, freezing points, blocking requests, adjusting interfaces, taking functions offline, preserving evidence, notifying users, notifying partners, and reporting to regulators or law enforcement authorities.

15. Third-Party Services and External Resources

  1. GM Gas may rely on or integrate third-party services, including but not limited to blockchain networks, node services, RPC services, explorer services, cross-chain services, cloud services, security services, audit services, payment services, risk control services, data services, wallet connection services, and open-source software.

  2. Third-party services are independently provided and controlled by the relevant third parties. GM Gas makes no guarantee as to the availability, accuracy, security, legality, continuity, stability, or suitability of third-party services.

  3. GM Gas shall not be liable for transaction failures, points consumption, service unavailability, data errors, or other losses caused by third-party service failures, delays, errors, suspensions, terminations, fee adjustments, security vulnerabilities, data abnormalities, policy changes, or other third-party reasons, unless mandatorily required by law or unless the Platform has engaged in intentional misconduct or gross negligence.

  4. When using third-party services, users may be required to comply with third-party service terms, privacy policies, fee rules, usage restrictions, compliance requirements, or other agreements. Users shall independently read, understand, and bear the risks arising from use of third-party services.

  5. The appearance of third-party names, marks, links, interfaces, data, or services on GM Gas pages, applications, or services does not mean that GM Gas recommends, guarantees, recognizes, represents, partners with, or endorses such third party.

16. Service Changes, Interruptions, and Termination

  1. GM Gas may adjust, suspend, restrict, take offline, or terminate part or all of the service based on business operations, technical upgrades, security incidents, on-chain status, third-party service changes, regulatory requirements, cost changes, or other reasonable reasons.

  2. The Platform may be unavailable, delayed, erroneous, or interrupted due to system maintenance, server failure, network failure, node abnormalities, on-chain congestion, third-party service interruptions, hacking, vulnerability remediation, regulatory requirements, force majeure, or other reasons.

  3. GM Gas does not guarantee that the service will be continuous, uninterrupted, error-free, completely secure, or always available.

  4. The Platform may notify users of service adjustments within a reasonable scope through announcements, pop-ups, in-app messages, emails, product pages, or other methods. However, in urgent security incidents, risk control events, regulatory requirements, system attacks, third-party service interruptions, or other emergencies, the Platform may take measures first and notify users according to the actual circumstances afterward.

  5. Users understand and agree that GM Gas may refuse, delay, cancel, or restrict certain gas sponsorship requests based on on-chain gas costs, available resources, risk control rules, account status, regional restrictions, compliance requirements, technical capabilities, or other reasons.

  6. Service adjustment, interruption, suspension, or termination shall not affect the validity of provisions in this Agreement concerning the nature of membership consumption points, risk allocation, limitation of liability, disclaimers, indemnification, dispute resolution, class action waiver, jury trial waiver, limitation period, and other provisions that by their nature should survive.

17. Intellectual Property

  1. Intellectual property rights in GM Wallet, GM Gas, and related products, pages, logos, trademarks, software, interfaces, documents, algorithms, systems, data structures, code, designs, text, images, audio and video, and other content belong to Good Morning Technology, LLC or the relevant rights holders.

  2. Without the prior written permission of Good Morning Technology, LLC, users shall not copy, modify, reverse engineer, decompile, scrape, mirror, rent, sell, transfer, sublicense, commercially exploit, or otherwise infringe the Platform's intellectual property.

  3. Users shall not delete, obscure, modify, or remove trademarks, copyright notices, patent notices, proprietary notices, or other rights notices of GM Wallet, GM Gas, or relevant rights holders.

  4. Feedback, suggestions, questions, opinions, or improvement proposals submitted by users to the Platform may be used by the Platform for product improvement, operations, security, and business purposes without payment to users, provided that the Platform will process any personal information contained therein in accordance with the privacy terms.

18. Disclaimer

  1. GM Gas is provided on an "as is" and "as available" basis. Except as expressly provided in this Agreement or mandatorily required by law, the Platform makes no express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, continuous availability, security, non-infringement, transaction success, asset safety, realization of returns, or conformity with user expectations.

  2. Users bear the risks arising from their use of GM Gas, GM Wallet, blockchain networks, smart contracts, third-party services, and related functions.

  3. GM Gas does not guarantee the accuracy, continuity, timeliness, security, completeness, or availability of any gas sponsorship request, transaction submission, on-chain transaction, smart contract call, blockchain confirmation, third-party service, node service, RPC service, public gas pool, point deduction, or transaction status display.

  4. To the maximum extent permitted by applicable law, GM Gas shall not be liable for any indirect, incidental, special, punitive, consequential, lost profit, goodwill, data loss, business interruption, lost opportunity, asset price fluctuation, transaction failure, mistaken transfer, fraud, hacking, privacy exposure, regulatory risk, third-party claim, or other non-direct losses.

  5. Users understand and agree that any losses caused by the user's own reasons, third-party reasons, blockchain network reasons, force majeure, regulatory changes, market volatility, smart contract vulnerabilities, on-chain attacks, or other reasons not reasonably within the Platform's control shall not be borne by GM Gas.

19. Limitation of Liability

  1. To the maximum extent permitted by applicable law, regardless of the basis of liability, GM Gas's total liability to the user shall not exceed the lowest of the following three amounts:

  2. (1) the actual amount paid by the user corresponding to the membership consumption points actually consumed for the single GM Gas service request that gave rise to the dispute;

  3. (2) the amount actually paid by the user for GM Gas during the three months before the dispute arose and not yet consumed;

  4. (3) USD 100.

  5. The above limitation of liability applies to any claim based on contract, tort, negligence, strict liability, statutory liability, equity, or any other legal theory, even if GM Gas has been advised of the possibility of such losses.

  6. The above limitation of liability does not apply to the scope of liability that applicable law expressly prohibits from being limited or excluded. If any jurisdiction does not allow exclusion or limitation of certain liabilities, the Platform's liability shall be assumed only to the minimum extent permitted by the laws of that jurisdiction.

  7. Users acknowledge that the nature of membership consumption points, no-refund rules, risk allocation, disclaimers, and limitation of liability in this Agreement are important bases for GM Gas to provide services under its current service model and fee standards.

20. Indemnification

  1. If a user's breach of this Agreement, violation of laws and regulations, infringement of third-party rights, malicious use of the service, abuse of Platform resources, provision of false information, initiation of illegal transactions, or conduct causing the Platform to face complaints, claims, investigations, penalties, litigation, arbitration, or other liabilities results in losses, the user shall indemnify Good Morning Technology, LLC, GM Wallet, GM Gas, their affiliates, partners, directors, officers, employees, agents, and representatives for all such losses.

  2. The scope of indemnification includes but is not limited to direct losses, third-party claims, administrative fines, settlement costs, attorney's fees, notarization fees, appraisal fees, investigation costs, travel expenses, litigation costs, arbitration costs, enforcement costs, technical remediation costs, goodwill losses, and other reasonable enforcement costs.

  3. If the Platform is subject to third-party claims or regulatory, judicial, or law enforcement investigations due to user conduct, the user shall provide necessary assistance, explanations, documents, evidence, or other cooperation at the Platform's request.

  4. The indemnification obligations described in this section shall survive termination of this Agreement.

21. Export Controls, Sanctions, and Restricted Regions

  1. The user represents and warrants that the user is not a person, entity, organization, address, wallet, resident, national, beneficial owner, controller, agent, or representative of any region or country prohibited, restricted, or listed under any applicable sanctions, export control, anti-terrorism, anti-money laundering, or trade restriction laws.

  2. Users shall not access or use GM Gas in violation of U.S., United Nations, Hong Kong, European Union, United Kingdom, Singapore, or other applicable sanctions, export control, anti-money laundering, counter-terrorist financing, trade restriction, or financial regulatory laws.

  3. Users shall not directly or indirectly use GM Gas to violate any applicable export control, economic sanctions, anti-money laundering, counter-terrorist financing, anti-bribery, anti-corruption, or other compliance requirements.

  4. Users shall not use proxies, false identities, false addresses, false device information, or other means to circumvent GM Gas's geographic restrictions, compliance restrictions, sanctions restrictions, risk control measures, or service restrictions.

  5. If we reasonably believe that a user, user address, user device, user transaction, source of funds, transaction counterparty, or the user's region involves sanctions, export control, anti-money laundering, counter-terrorist financing, regulatory restrictions, or other compliance risks, we have the right to refuse, suspend, restrict, or terminate service and take other measures permitted by this Agreement.

  6. The Platform has the right to update restricted countries, regions, addresses, transaction types, asset types, or service scope based on its own compliance policies, partner requirements, laws and regulations, regulatory requirements, or risk assessments, without assuming additional liability to users.

22. Governing Law and Dispute Resolution

  1. The formation, effectiveness, interpretation, performance, breach, termination, and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of laws rules. However, if any mandatory consumer protection, data protection, sanctions, export control, financial regulatory, or other law cannot be excluded, such mandatory law may still apply.

  2. All disputes, claims, disagreements, or requests arising from or relating to this Agreement, GM Gas, GM Wallet, or the user's use of related services, including but not limited to contract disputes, tort disputes, product liability disputes, data disputes, privacy disputes, consumer disputes, and any other disputes, shall first be resolved through friendly consultation between the parties.

  3. If consultation fails, either party shall submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for final arbitration in accordance with the HKIAC Administered Arbitration Rules in effect at the time the arbitration is submitted.

  4. The seat of arbitration shall be the Hong Kong Special Administrative Region. The language of arbitration shall be English, unless the parties agree in writing to use Chinese. The arbitral tribunal shall consist of one arbitrator, appointed or confirmed by HKIAC in accordance with its rules.

  5. The arbitral award shall be final and binding on both parties. The parties agree that any court of competent jurisdiction may confirm, recognize, or enforce the arbitral award.

  6. Unless otherwise decided by the arbitral tribunal, the losing party shall bear all reasonable costs incurred by the prevailing party in connection with the arbitration, including but not limited to arbitration fees, attorney's fees, notarization fees, appraisal fees, translation fees, investigation costs, evidence preservation fees, property preservation fees, enforcement costs, and other reasonable enforcement costs.

  7. Notwithstanding the foregoing, to protect the intellectual property, trade secrets, system security, user security, data security, or to prevent irreparable harm to Good Morning Technology, LLC, GM Wallet, GM Gas, or their affiliates, Good Morning Technology, LLC has the right to apply to any court of competent jurisdiction for injunctions, conduct preservation, evidence preservation, property preservation, interim measures, or other emergency relief. Such actions shall not be deemed a breach of this arbitration clause or a waiver of the arbitration agreement.

  8. Users understand and agree that arbitration proceedings and arbitral awards shall be confidential to the extent permitted by applicable law. Except for enforcing awards, fulfilling legal obligations, protecting legitimate rights and interests, or cooperating with regulatory, judicial, or law enforcement requirements, neither party shall disclose arbitration materials, proceedings, evidence, or results externally.

23. Class Action Waiver

  1. To the maximum extent permitted by applicable law, users agree that any dispute, claim, or request arising from or relating to this Agreement, GM Gas, GM Wallet, or any relationship between the parties may be brought only in the user's individual capacity.

  2. Users shall not bring any dispute, claim, or request as a plaintiff, applicant, representative, member, or participant in any class action, representative action, class arbitration, private attorney general action, or similar proceeding.

  3. Users shall not consolidate their disputes, claims, or requests with those of any other individual, entity, or user in litigation or arbitration.

  4. Unless Good Morning Technology, LLC expressly agrees in writing, no arbitrator or court shall have authority to consolidate multiple users' requests, preside over any form of class or representative proceeding, or make a ruling on the rights of any non-party.

  5. If this section is deemed wholly or partially invalid under applicable law, it shall be inapplicable only to the extent of such invalidity, and the remaining provisions shall continue in effect.

24. Jury Trial Waiver

  1. To the maximum extent permitted by applicable law, both parties expressly, unconditionally, and irrevocably waive the right to request a jury trial for any dispute arising from or relating to this Agreement, GM Gas, GM Wallet, or any relationship between the parties.

  2. Users acknowledge that they have understood the legal consequences of this section and agree to resolve relevant disputes through arbitration or other dispute resolution mechanisms provided in this Agreement.

25. Limitation Period

  1. To the maximum extent permitted by applicable law, users shall initiate arbitration, litigation, or other legal proceedings within one year from the date on which the relevant dispute, claim, or request arises.

  2. If the user fails to initiate proceedings within the above period, the user shall be deemed to have permanently waived the relevant dispute, claim, or request, except where applicable law expressly prohibits shortening limitation periods or waiving relevant rights.

  3. This section does not limit the right of Good Morning Technology, LLC, GM Wallet, or GM Gas to bring claims, apply for interim measures, or take other legal actions against users for breach of this Agreement, infringement of intellectual property, system attacks, fraud, service abuse, illegal or non-compliant conduct, sanctions evasion, or other conduct that harms the Platform or third-party rights and interests.

26. Force Majeure

  1. If GM Gas is unable to perform, delays performance, or partially performs its obligations under this Agreement due to force majeure or reasons beyond the Platform's reasonable control, the Platform shall not bear liability for breach or compensation.

  2. Force majeure or reasons beyond reasonable control include but are not limited to natural disasters, war, terrorist attacks, riots, strikes, government actions, regulatory changes, judicial or law enforcement measures, cyberattacks, hacking, viruses, system failures, power failures, communication interruptions, blockchain network abnormalities, node failures, third-party service interruptions, major security incidents, abnormal market volatility, protocol upgrades, chain forks, chain reorganizations, or other events beyond the Platform's reasonable control.

  3. The Platform will take measures within a reasonably practicable scope to reduce the impact of force majeure or uncontrollable events, but does not guarantee that service can be fully restored, losses avoided, or user expectations achieved.

27. Amendments to the Agreement

  1. GM Gas has the right to amend this Agreement based on business changes, laws and regulations, regulatory requirements, technical adjustments, security needs, or user experience improvements.

  2. The amended agreement will be published through product pages, announcements, pop-ups, in-app notices, emails, or other reasonable methods. The amended agreement shall take effect from the published effective date.

  3. If users do not agree to the amended agreement, they shall stop using GM Gas. Continued use of the service after the amended agreement takes effect shall be deemed acceptance of the amended agreement.

  4. For material changes, the Platform may provide prompts within a reasonable scope through pop-ups, renewed checkbox confirmation, in-app notices, or other methods. Material changes include but are not limited to significant adjustments to membership consumption points rules, fee rules, service scope, risk terms, limitation of liability, dispute resolution clauses, or privacy terms.

28. Notices

  1. The Platform may send notices to users through product page announcements, pop-ups, in-app messages, emails, SMS, customer service notices, official social media accounts, or other reasonable methods.

  2. Users shall ensure that the contact information they provide is true, accurate, and valid. The Platform shall not be liable for failure to receive notices caused by incorrect or invalid user contact information, failure to check notices in time, or device settings.

  3. Notices sent by the Platform to users shall be deemed delivered when successfully sent, displayed on a page, published as an announcement, or otherwise made available for users to view in a reasonable manner.

  4. Notices, complaints, appeals, or legal documents sent by users to the Platform shall be submitted through the official contact information published by the Platform or channels designated by the Platform. The Platform does not guarantee timely receipt or handling of notices submitted through unofficial channels.

29. Severability, Waiver, and Assignment

  1. If any provision of this Agreement is deemed invalid, illegal, or unenforceable, the validity of other provisions shall not be affected. The invalid, illegal, or unenforceable provision shall be interpreted, modified, or replaced to the extent closest to the original commercial purpose and permitted by law.

  2. GM Gas's failure or delay in exercising any right under this Agreement shall not constitute a waiver of that right.

  3. Without the prior written consent of Good Morning Technology, LLC, users shall not transfer, assign, sublicense, or otherwise dispose of any rights or obligations under this Agreement.

  4. Users understand and agree that Good Morning Technology, LLC may, due to business restructuring, merger, division, acquisition, asset transfer, business transfer, financing, change of control, affiliate arrangements, service operation adjustments, legal or regulatory requirements, or other reasonable reasons for continuing to provide, maintain, integrate, or migrate GM Wallet or GM Gas, transfer, assign, or delegate all or part of its rights and obligations under this Agreement to its affiliates, successors, assignees, service operators, partners, or other third parties.

  5. After such transfer or assignment takes effect, the relevant assignee or successor shall assume the corresponding rights and obligations under this Agreement within the transfer scope. We may notify you of the relevant arrangements through product page announcements, in-app notices, updated agreements, emails, or other reasonable methods.

  6. Except as otherwise mandatorily provided by applicable law, such transfer shall not constitute termination of this Agreement and shall not affect the validity of risk notices, limitation of liability, disclaimers, dispute resolution, indemnification, intellectual property, and other provisions under this Agreement that by their nature should survive.

30. Entire Agreement and Language

  1. This Agreement, together with the GM Wallet User Agreement and Disclaimer, Privacy Policy, supplementary terms, risk notices, campaign rules, third-party service descriptions, function page prompts, fee rules, disclaimers, and other related rules referenced or incorporated herein, constitutes the entire agreement between you and Good Morning Technology, LLC regarding GM Gas and supersedes any prior oral or written communications, descriptions, marketing materials, representations, commitments, or agreements between the parties regarding GM Gas.

  2. The English version of this Agreement shall prevail. We may provide versions in other languages for users' convenience, or mark summaries or descriptions of terms most relevant to particular functions in relevant services, pages, functions, pop-ups, or prompts for reference, but such translations, summaries, markings, or descriptions are for reference only and do not constitute segmentation, amendment, supplementation, replacement, or independent consent to this Agreement.

  3. If there is any inconsistency, ambiguity, or conflict between different language versions, or between summaries, page prompts, function descriptions, and the full English version, the full English version shall prevail, except as otherwise mandatorily required by applicable law.

  4. The headings in this Agreement are for reading convenience only and do not affect the meaning, interpretation, or application of any provision of this Agreement. References in this Agreement to "including," "including but not limited to," "for example," and similar expressions shall not be interpreted as restrictive lists.

Please note that no customer service representative, community administrator, or staff member will ask you for your private keys, seed phrases, passwords, verification codes, or remote control permissions. You should verify information sources through official channels and beware of fraud.
