GM Wallet Terms of Use and Disclaimer

These GM Wallet Terms of Use and Disclaimer (these “Terms”) are entered into by and between you and Good Morning Technology, LLC (“Good Morning Technology,” “we,” “us,” “our,” the “Company,” or “GM Wallet”). These Terms govern your access to, download, installation, registration for, and use of the GM Wallet application, websites, plugins, interfaces, related software, cloud backup notices, third-party service integrations, on-chain interaction portals, and any other related features or services.

Please read these Terms carefully and make sure you fully understand them before using GM Wallet, in particular the provisions concerning the non-custodial nature of GM Wallet, private key and seed phrase management, third-party services, blockchain risks, disclaimers, limitation of liability, arbitration, waiver of class actions, waiver of jury trial, limitation period for claims, export controls, sanctions, and restricted jurisdictions. By downloading, installing, accessing, creating a wallet, importing a wallet, backing up, signing, transferring, invoking third-party services, or otherwise using GM Wallet in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to any provision of these Terms, you must immediately cease accessing or using GM Wallet.

1. Definitions

  1. “GM Wallet” means the non-custodial digital asset wallet software, interfaces, applications, websites, plugins, SDKs, APIs, backup notices, transaction displays, risk alerts, third-party service integration portals, and related features provided by Good Morning Technology, LLC, excluding any on-chain protocols, smart contracts, node services, blockchain networks, stablecoin issuance services, swap services, derivatives services, fiat on-ramp or off-ramp services, or other third-party services independently provided by third parties.

  2. “User” or “you” means any natural person, legal person, or other organization that accesses, downloads, installs, registers for, imports, creates, connects, signs, transfers, or otherwise uses GM Wallet in any manner.

  3. “Digital Assets” means tokens, stablecoins, NFTs, on-chain interests, on-chain credentials, or any other form of digital representation of rights or interests generated, recorded, transferred, or displayed based on blockchain, distributed ledger, smart contract, or other cryptographic technologies. Digital Assets do not represent any undertaking by GM Wallet as to their value, security, legality, liquidity, availability, or redeemability.

  4. “Non-Custodial Wallet” means a wallet software model under which GM Wallet does not hold, control, manage, or store users’ private keys, seed phrases, passwords, signing authority, or Digital Assets, and users independently control their private keys and seed phrases and bear full responsibility for asset management and on-chain interactions.

  5. “Private Key,” “Seed Phrase,” “Password,” or “Recovery Phrase” means sensitive credentials that may be used to access, control, transfer, or recover a Digital Asset wallet. Any person who obtains such credentials may be able to control the Digital Assets associated with the relevant wallet address.

  6. “Third-Party Services” means services independently provided by third parties that may be displayed, linked, embedded, invoked, or integrated through GM Wallet, including without limitation Swap, Bridge, Perpetuals/Derivatives, DeFi, Staking, Fiat On-ramp/Off-ramp, node services, data services, risk detection, token lists, market price data, DApp browsers, on-chain projects, smart contracts, stablecoin issuers, and other external services.

  7. “On-Chain Interaction” means any interaction by a user with a blockchain network, smart contract, DApp, Third-Party Service, or other address through private keys, seed phrases, wallet signatures, smart contract calls, authorizations, transfers, swaps, cross-chain transactions, staking, minting, burning, claiming, voting, revoking approvals, or any other means.

2. Acceptance and Scope of These Terms

  1. By using GM Wallet, you represent and warrant that you have full legal capacity and authority to enter into and perform these Terms, and that you are legally permitted under the laws of your jurisdiction to use non-custodial Digital Asset wallets and related on-chain services.

  2. If you use GM Wallet on behalf of a company, organization, project, or other entity, you represent and warrant that you have authority to accept these Terms on behalf of such entity, and that such entity shall also be bound by these Terms.

  3. These Terms govern only the legal relationship between you and Good Morning Technology, LLC with respect to the GM Wallet software and related services. Your relationship with blockchain networks, stablecoin issuers, DApps, smart contracts, third-party service providers, node providers, cloud service providers, counterparties, or any other third parties shall be separately governed by the terms of use, privacy policies, risk disclosures, rules, and applicable laws relating to such third parties.

  4. If certain GM Wallet features are subject to separate terms, activity rules, risk notices, or supplemental agreements, such terms shall form part of the entire agreement together with these Terms. In the event of any conflict, the more specific terms shall prevail, provided that they shall not diminish the core provisions of these Terms concerning the non-custodial nature of GM Wallet, assumption of risk, limitation of liability, and dispute resolution.

3. Non-Custodial Nature of GM Wallet

  1. GM Wallet is a non-custodial wallet. GM Wallet does not custody, hold, control, or manage your Digital Assets, does not store your Private Keys, Seed Phrases, Passwords, or Recovery Phrases, and does not have the ability to initiate transactions on your behalf, freeze assets, recover assets, reverse transactions, retrieve Private Keys, reset wallets, manage assets, or prevent finally confirmed on-chain transactions.

  2. You understand and acknowledge that Digital Assets exist on the relevant blockchain networks or smart contracts, and not on GM Wallet’s servers, accounts, or systems. GM Wallet functions only as local wallet software, an interface display tool, a signing tool, an on-chain interaction portal, and a Third-Party Service integration portal.

  3. You are solely responsible for your Private Keys, Seed Phrases, Passwords, device security, cloud account security, signature activities, authorization activities, On-Chain Interactions, tax reporting, compliance obligations, and asset management.

  4. If you lose your Private Keys, Seed Phrases, Passwords, device access, or cloud backup access, GM Wallet cannot and will not restore your wallet, recover your Private Keys, recover your Seed Phrases, reset your Password, or retrieve your assets.

  5. You understand that any third party who obtains your Private Keys, Seed Phrases, Passwords, device access, cloud backup access, or signing authority may transfer, authorize, stake, burn, or otherwise dispose of your Digital Assets. All losses arising therefrom shall be borne solely by you.

4. GM Wallet Is Not a Financial Institution, Custodian, Exchange, or Stablecoin Issuer

  1. GM Wallet is not a bank, trust company, securities broker-dealer, futures commission merchant, swap dealer, clearing agency, exchange, payment institution, money services business, investment adviser, fund manager, custodian, stablecoin issuer, electronic money issuer, insurance institution, or any other regulated financial institution.

  2. Good Morning Technology, LLC and GM Wallet do not represent, warrant, or imply that they hold any banking, securities, futures, commodities, payment, money services, virtual asset services, trust, custody, investment advisory, stablecoin issuance, brokerage, clearing, insurance, or other financial regulatory license, unless expressly announced by us in writing in a specific jurisdiction.

  3. GM Wallet does not issue any payment stablecoin, does not undertake that any Digital Asset may be redeemed at a fixed amount, does not undertake that any Digital Asset has a stable value, and does not provide deposits, loans, interest, yield, investment management, asset management, custody, clearing, matching, underwriting, market making, investment advice, tax advice, or legal advice.

  4. GM Wallet does not act as your agent, trustee, asset manager, broker, counterparty, clearing party, settlement party, payment processor, or financial intermediary. Any On-Chain Transaction initiated or signed by you through GM Wallet is independently determined by you and occurs directly between you and the relevant blockchain network, smart contract, DApp, Third-Party Service, or counterparty.

  5. You must not construe any interface display, price information, risk notice, token display, third-party portal, campaign information, announcement, or feature description of GM Wallet as financial advice, investment advice, legal advice, tax advice, accounting advice, audit opinion, asset guarantee, project endorsement, or yield undertaking.

5. Special Stablecoin Statement Based on the U.S. GENIUS Act

  1. You understand that the U.S. Guiding and Establishing National Innovation for U.S. Stablecoins Act, or the “GENIUS Act,” and its implementing rules primarily establish a regulatory framework for the issuance, reserves, redemption, licensing, compliance, and related service activities of payment stablecoins. GM Wallet is positioned as non-custodial wallet software and a Third-Party Service integration portal, and not as a payment stablecoin issuer or stablecoin reserve manager.

  2. GM Wallet may support the display, receipt, sending, or certain on-chain interactions relating to certain stablecoins. However, such stablecoins are issued, operated, managed, or maintained by independent third parties. GM Wallet does not issue, redeem, repurchase, guarantee, custody, or manage any stablecoin, and assumes no responsibility for the reserves, compliance status, redemption capability, price stability, issuer solvency, freezing mechanisms, blacklist mechanisms, regulatory status, or availability of any stablecoin.

  3. If you use, receive, send, swap, or hold stablecoins, you must independently read and comply with the requirements of the relevant stablecoin issuer, blockchain network, DApp, Third-Party Service provider, and the laws and regulations of your jurisdiction. You are solely responsible for determining whether such stablecoin may be lawfully used in your jurisdiction, whether it is issued by a qualified or licensed entity, and whether it is subject to redemption restrictions, freezing risks, compliance risks, or other legal or market risks.

  4. GM Wallet’s display, compatibility support, balance reading, icon display, price display, transfer portal, or third-party swap portal for any stablecoin does not constitute GM Wallet’s recognition, recommendation, guarantee, or endorsement of the legality, stability, security, compliance status, reserve sufficiency, redemption capability, or investment value of such stablecoin.

6. Third-Party On-Chain Services and Integrations

  1. GM Wallet may integrate, display, link to, or invoke Third-Party Services within the application, including without limitation Swap, Bridge, Perpetuals/Derivatives, Fiat On-ramp/Off-ramp, Staking, DeFi, DApps, market data, nodes, token lists, risk detection, on-chain data, stablecoin-related services, and other functions.

  2. Such Third-Party Services are independently provided by the relevant third-party providers. GM Wallet will use commercially reasonable efforts to identify provider names, sources, links, or related descriptions where appropriate; however, GM Wallet only provides interface integration, technical connectivity, redirection, display, or invocation portals, and does not operate, control, manage, or guarantee such Third-Party Services.

  3. Before using any Third-Party Service, you must, based on your jurisdiction, identity, risk tolerance, transaction purpose, and legal obligations, independently read and understand the relevant third party’s terms of use, privacy policy, risk disclosures, fee rules, compliance requirements, and restrictions, and independently conduct your own research before deciding whether to interact with such service.

  4. You understand that Third-Party Services may involve slippage, price volatility, insufficient liquidity, transaction failure, smart contract vulnerabilities, oracle errors, MEV, front-running, sandwich attacks, liquidation, negative equity, margin loss, bridge asset loss, project abandonment or fraud, contract suspension, asset freezing, regulatory restrictions, service delisting, fee changes, KYC/AML review, account restrictions, or other risks.

  5. GM Wallet shall not be liable for the accuracy, continuity, legality, security, availability, compliance, suitability, rates, quotations, execution results, on-chain confirmation, final settlement, or user losses relating to any Third-Party Service.

  6. GM Wallet may receive service fees, referral fees, rebates, revenue sharing, or other economic benefits in connection with Third-Party Service integrations, recommendations, redirections, traffic, technical services, or commercial collaborations. Such arrangements do not constitute a guarantee or endorsement by GM Wallet of any Third-Party Service and do not alter your sole responsibility for the risks of using such services.

7. GM Wallet Is Not a Blockchain Operator or On-Chain Project Operator

  1. GM Wallet is not the operator of any blockchain network, node network, validator network, miner network, sequencer, cross-chain bridge, stablecoin project, DApp, smart contract, token project, NFT project, DeFi protocol, oracle, liquidity pool, or on-chain project, unless expressly stated by us in writing.

  2. Blockchain networks and smart contracts are generally maintained by independent developers, communities, validators, miners, nodes, foundations, DAOs, project teams, or other third parties. GM Wallet cannot control their rules, consensus mechanisms, fees, confirmation times, forks, upgrades, downtime, rollbacks, freezes, censorship, vulnerabilities, or governance outcomes.

  3. Your interactions with any blockchain network, DApp, smart contract, token, NFT, stablecoin, cross-chain bridge, or third-party project shall be separately governed by the corresponding terms of use, privacy policies, rules, risk disclosures, and applicable laws. GM Wallet does not assume any obligation as operator, guarantor, issuer, manager, or responsible party with respect to such interactions.

8. Private Keys, Seed Phrases, and User Responsibility

  1. You must properly safeguard your Private Keys, Seed Phrases, Passwords, devices, biometric permissions, cloud accounts, backup files, and any recovery credentials. You must not disclose your Private Keys, Seed Phrases, verification codes, remote access permissions, or signing authority to any person.

  2. GM Wallet will not proactively request your Private Keys or Seed Phrases. Any person or communication claiming to represent GM Wallet and requesting Private Keys, Seed Phrases, Passwords, verification codes, remote access permissions, or transfers from you should be treated as high-risk or fraudulent.

  3. You must independently verify recipient addresses, chain types, token contracts, Memo/Tag requirements, network fees, authorization limits, smart contract call contents, and transaction parameters. Losses caused by incorrect addresses, incorrect chain selection, incorrect token contracts, missing Memo/Tag, excessive approvals, mistaken signatures, duplicate transfers, network congestion, insufficient Gas, or other user operation errors shall be borne solely by you.

  4. You acknowledge that once a blockchain transaction is broadcast or confirmed, it is generally irreversible, non-cancellable, and incapable of rollback. GM Wallet cannot guarantee that it can intercept, withdraw, modify, or recover any signed, broadcast, or confirmed transaction.

9. Cloud Backup and Recovery Limitations

  1. GM Wallet may provide or prompt you to use cloud backup features based on mobile device manufacturers, operating systems, or third-party cloud storage services, such as iCloud, Google Cloud, Google Drive, or backup services provided by other device manufacturers, system providers, or cloud service providers.

  2. Cloud backup is not custodied by GM Wallet. GM Wallet does not control, operate, or manage the relevant cloud storage, cloud account, cloud encryption mechanism, cloud recovery mechanism, or account security measures. You must independently read and understand the terms of service, privacy policies, security mechanisms, and risks of the relevant cloud service providers.

  3. You must independently protect your iCloud, Google Cloud, Google Drive, mobile device manufacturer accounts, email accounts, phone numbers, two-factor authentication, device passwords, biometric permissions, and other cloud account credentials. If your cloud account is compromised, taken over, synchronized, restored, accessed by another person, or if backups are leaked, lost, or rendered unrecoverable due to cloud service provider failure, all risks and losses arising therefrom shall be borne solely by you.

  4. GM Wallet does not store your Private Keys, Seed Phrases, or cloud backup decryption Passwords, and does not provide Password recovery, Private Key recovery, Seed Phrase recovery, asset recovery, or cloud account recovery services.

  5. You understand that enabling cloud backup may improve convenience but may also introduce risks such as cloud account compromise, device synchronization, malicious restoration, service provider failure, legal or governmental requests, account suspension, and cross-device leakage. You must prudently decide whether to enable cloud backup based on your own security needs.

10. Emerging Blockchain Technology Risks and Signing Responsibility

  1. Blockchain technology, smart contracts, DeFi, cross-chain technology, stablecoins, NFTs, Layer 2 networks, account abstraction, MPC, Passkeys, on-chain oracles, on-chain derivatives, and other related technologies remain in a stage of rapid development and are subject to technical, market, legal, regulatory, operational, and security uncertainties.

  2. Due to the open and permissionless nature of blockchain, not all projects, tokens, smart contracts, DApps, domains, links, trading pairs, or Third-Party Services are subject to strict review, management, or regulation. Any person may create tokens, deploy contracts, forge project pages, impersonate brands, launch phishing attacks, or induce users to sign malicious transactions.

  3. GM Wallet will use reasonable efforts to provide risk alerts, blacklist identification, malicious address warnings, phishing domain alerts, approval risk warnings, contract interaction notices, token display filtering, transaction simulation, or blocking services. However, such features are provided on a best-efforts basis only and are not guaranteed to be complete, accurate, real-time, error-free, or capable of preventing all risks.

  4. Any risk notice, blocking action, whitelist, blacklist, token display, project label, icon, name, price, warning, or absence of warning by GM Wallet shall not and must not be deemed GM Wallet’s endorsement, guarantee, approval, security review, or safety undertaking with respect to any project, token, DApp, smart contract, link, address, Third-Party Service, or On-Chain Interaction.

  5. You are ultimately responsible for your own signatures, approvals, transactions, DApp connections, contract calls, cross-chain transactions, swaps, staking, derivatives transactions, stablecoin use, NFT minting, and other On-Chain Interactions. Any asset loss, stolen authorization, liquidation, slippage, transaction failure, project risk, contract vulnerability, or third-party fraud arising from your signatures or interactions shall be borne solely by you.

11. Security Audits and Security Disclaimer

  1. GM Wallet values security and may periodically conduct internal security audits, code reviews, penetration testing, and risk assessments, and may engage external security audit firms to perform professional audits.

  2. You understand that no code, system, application, smart contract, algorithm, cryptographic scheme, device environment, operating system, cloud service, network operator, node service, RPC service, third-party SDK, dependency library, or user operation process can be guaranteed to be absolutely secure.

  3. Even if GM Wallet has conducted internal or external audits, this does not mean that GM Wallet is free from vulnerabilities, defects, backdoors, compatibility issues, misconfigurations, supply chain risks, dependency risks, system risks, or unknown security issues.

  4. GM Wallet’s security protections are provided on a best-efforts basis and depend on multiple factors, including existing technical capabilities, external environments, mobile operating systems, device security, network operators, cloud service providers, blockchain networks, node services, third-party dependencies, and user behavior.

  5. To the maximum extent permitted by applicable law, GM Wallet shall not be liable for any asset loss, data loss, business interruption, or other damages caused by hacking, viruses, trojans, malware, supply chain attacks, device theft, system vulnerabilities, Private Key leakage, Seed Phrase leakage, cloud account compromise, phishing links, malicious signatures, user error, Third-Party Service failure, blockchain vulnerabilities, smart contract vulnerabilities, network attacks, operator failure, mobile operating system failure, force majeure, or any other event not resulting from GM Wallet’s intentional unlawful conduct.

12. Fees, Gas, Taxes, and Transaction Costs

  1. Your use of blockchain networks may require the payment of Gas, miner fees, validator fees, network fees, bridge fees, protocol fees, Third-Party Service fees, slippage, liquidation fees, platform fees, or other costs. Such fees are generally charged by blockchain networks, validators, miners, protocols, smart contracts, or third-party service providers, and are not entirely charged or controlled by GM Wallet.

  2. Fees, exchange rates, Gas estimates, prices, arrival times, confirmation numbers, slippage, or transaction results displayed by GM Wallet are for reference only and may differ due to network congestion, price fluctuations, node latency, changes in third-party quotations, or changes in on-chain conditions.

  3. You are solely responsible for any tax reporting, tax payment, recordkeeping, and compliance obligations arising from holding, transferring, swapping, selling, receiving, staking, or using Digital Assets or participating in On-Chain Interactions. GM Wallet does not provide tax, accounting, or legal advice.

13. User Covenants and Prohibited Conduct

You covenant that you will not use GM Wallet to engage in, assist, induce, participate in, or attempt to engage in any of the following conduct:

  1. Any conduct that violates any applicable law, regulation, regulatory rule, court order, arbitral award, sanctions rule, export control rule, or third-party right;

  2. Money laundering, terrorist financing, tax evasion, fraud, theft, extortion, bribery, illegal gambling, hacking, cyberattacks, infringement of intellectual property rights, dissemination of malware, trading in illegal goods, circumvention of regulation, sanctions evasion, or any other illegal or unlawful activity;

  3. Use of stolen, fraudulent, misappropriated, forged, or unlawfully obtained assets, identities, devices, accounts, bank cards, payment accounts, cloud accounts, Private Keys, or Seed Phrases;

  4. Attacking, interfering with, reverse engineering, cracking, scanning, stress testing, bypassing, disrupting, or abusing GM Wallet’s systems, security mechanisms, risk control mechanisms, interfaces, nodes, servers, Third-Party Services, or other users’ experience;

  5. Impersonating GM Wallet, Good Morning Technology, employees, customer support personnel, partners, auditors, community administrators, or any other identity to conduct fraud, phishing, signature inducement, or user deception;

  6. Using GM Wallet for any purpose that is restricted, requires a license that you have not obtained, or that we believe may give rise to legal, regulatory, security, reputational, or commercial risks.

14. Export Controls, Sanctions, and Restricted Jurisdictions

  1. You represent and warrant that you are not a resident, national, beneficial owner, controller, agent, or representative of any individual, entity, organization, address, wallet, territory, or country that is prohibited, restricted, or listed under any applicable sanctions, export control, anti-terrorism, anti-money laundering, or trade restriction laws.

  2. You may not access or use GM Wallet in violation of the sanctions, export control, anti-money laundering, counter-terrorist financing, trade restriction, or financial regulatory laws of the United States, the United Nations, Hong Kong, the European Union, the United Kingdom, Singapore, or any other applicable jurisdiction.

  3. You may not use proxies, false identities, false addresses, false device information, or any other means to circumvent GM Wallet’s geographic restrictions, compliance restrictions, sanctions restrictions, risk control measures, or service restrictions.

  4. If we reasonably believe that you or your use may involve a restricted jurisdiction, sanctioned person, illegal or unlawful activity, abnormal risk, or regulatory requirement, we reserve the right, to the extent permitted by applicable law, to restrict, suspend, terminate, block, delist, refuse to provide part of the services, refuse invocation of Third-Party Services, issue risk notices, or take other necessary measures.

  5. Because GM Wallet is a non-custodial wallet, we are unable to freeze, seize, transfer, or recover assets held at your on-chain address. However, we may still restrict software features, interfaces, displays, third-party integrations, or service access to the extent permitted or required by law.

15. Privacy Protection

  1. GM Wallet values user privacy. We will process information related to GM Wallet in accordance with the applicable privacy policy. Please read and comply with our Privacy Policy before using GM Wallet.

  2. You understand that blockchain networks are public, transparent, traceable, and immutable. Your wallet addresses, transaction records, authorization records, token holdings, NFTs, interacting contracts, timestamps, amounts, and other on-chain data may be viewed, analyzed, or associated by any person through blockchain explorers, nodes, data analytics tools, or third-party services.

  3. GM Wallet cannot control the degree of information disclosure on public blockchains, and cannot delete, modify, or conceal data that has been recorded on-chain. You should use addresses, signatures, and On-Chain Interactions prudently and avoid unnecessarily associating your personal identity with on-chain addresses.

  4. Third-Party Services may collect, process, or share your information in accordance with their own privacy policies. GM Wallet does not control the data processing practices of Third-Party Services, and you should independently read their privacy policies and determine whether to use such services.

16. Intellectual Property

  1. GM Wallet and its related software, interfaces, designs, trademarks, logos, copy, graphics, code, databases, technical solutions, documentation, names, brand elements, and other content are, unless otherwise stated, owned by Good Morning Technology, LLC or its licensors.

  2. Without our prior written consent, you may not copy, modify, distribute, sell, lease, transfer, sublicense, reverse engineer, decompile, disassemble, scrape, mirror, impersonate, remove copyright notices from, or otherwise infringe upon the intellectual property rights of GM Wallet.

  3. These Terms do not transfer any intellectual property rights to you. Subject to your compliance with these Terms, you are granted only a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use GM Wallet for personal or internal lawful purposes.

17. Service Changes, Suspension, and Termination

  1. GM Wallet may update, modify, suspend, delist, restrict, or terminate all or part of its functions at any time based on business, technical, security, compliance, legal, Third-Party Service, blockchain network, or operational needs.

  2. GM Wallet may publish updates, patches, risk notices, version upgrades, or functional adjustments within a reasonable scope. You should promptly update to a secure version. Risks arising from your failure to update in a timely manner, or from your use of outdated versions, unofficial versions, modified versions, or versions installed through third-party channels, shall be borne solely by you.

  3. If we believe that you have violated these Terms, applicable law, third-party rights, sanctions requirements, security rules, or otherwise present risks, we reserve the right to restrict, suspend, or terminate the provision of all or part of GM Wallet’s functions to you.

  4. Because GM Wallet is a non-custodial wallet, even if we terminate or restrict the software service, this does not mean that we control, custody, or are able to transfer your on-chain assets. You remain responsible for safeguarding your Private Keys and Seed Phrases and may independently import and manage your assets through compatible wallets.

18. Disclaimers

  1. To the maximum extent permitted by applicable law, GM Wallet is provided on an “as is” and “as available” basis. We make no express or implied warranties as to the continuity, timeliness, security, accuracy, completeness, suitability, error-free operation, absence of vulnerabilities, absence of viruses, uninterrupted availability, accessibility, compatibility, transaction success rate, on-chain confirmation speed, availability of Third-Party Services, or asset value of GM Wallet.

  2. GM Wallet does not guarantee the authenticity, legality, security, availability, liquidity, profitability, stability, or continued operation of any Digital Asset, token, stablecoin, NFT, DApp, smart contract, Third-Party Service, on-chain project, blockchain network, node, price, market data, risk notice, or transaction simulation.

  3. Your use of GM Wallet is entirely at your own risk. You should independently determine whether to use GM Wallet or participate in On-Chain Interactions based on your own knowledge, experience, risk tolerance, local laws, tax obligations, and financial condition.

  4. GM Wallet shall not be liable for any investment loss, asset depreciation, asset theft, loss of Private Keys, leakage of Seed Phrases, transaction failure, transaction delay, transaction rollback, on-chain congestion, Gas fluctuation, slippage, liquidation, negative equity, smart contract vulnerability, third-party fraud, project abandonment or fraud, stablecoin depeg, issuer default, regulatory measure, freeze, blacklist, network attack, device failure, cloud service failure, or force majeure.

19. Limitation of Liability

  1. To the maximum extent permitted by applicable law, GM Wallet and all related services, software, functions, interfaces, content, and third-party integrations are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, continuous availability, error-free operation, uninterrupted operation, or security.

  2. To the maximum extent permitted by applicable law, Good Morning Technology, LLC, GM Wallet, and their affiliates, managers, members, employees, contractors, consultants, agents, partners, licensors, service providers, and representatives shall not be liable for any indirect, incidental, special, punitive, consequential, or exemplary damages, or any loss of profits, revenue, goodwill, data, business interruption, opportunity, assets, Digital Assets, or cost of substitute services.

  3. To the maximum extent permitted by applicable law, whether based on contract, tort, negligence, strict liability, statutory liability, equity, or any other legal theory, GM Wallet’s aggregate liability to you shall not exceed the service fees actually paid by you to GM Wallet during the twelve months preceding the event giving rise to the claim. If you have not paid any service fees to GM Wallet, GM Wallet’s aggregate liability to you shall not exceed USD 100.

  4. The foregoing limitations of liability shall apply even if GM Wallet has been advised of the possibility of such damages, and shall apply to any dispute arising out of or relating to the use of, or inability to use, GM Wallet, Third-Party Services, On-Chain Interactions, Digital Assets, blockchain networks, or these Terms.

  5. Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such circumstances, this section shall apply only to the maximum extent permitted by applicable law.

20. User Indemnification

You agree to indemnify, defend, and hold harmless Good Morning Technology, LLC, GM Wallet, and their affiliates, managers, members, employees, contractors, consultants, agents, partners, licensors, and service providers from and against any and all claims, losses, liabilities, damages, penalties, costs, expenses, attorneys’ fees, arbitration fees, investigation costs, and third-party demands arising out of or relating to:

  1. Your breach of these Terms or applicable law;

  2. Your use or misuse of GM Wallet, Third-Party Services, blockchain networks, smart contracts, or Digital Assets;

  3. Your signatures, approvals, transfers, transactions, stablecoin use, DApp interactions, or other on-chain activities;

  4. Your infringement of any third party’s intellectual property rights, privacy rights, property rights, contractual rights, or other lawful rights or interests;

  5. Your fraud, attacks, money laundering, tax evasion, sanctions evasion, unlawful transactions, malicious arbitrage, abuse of services, or other improper conduct.

21. Limitation Period for Claims

  1. To the maximum extent permitted by applicable law, users must commence arbitration, litigation, or other legal proceedings within one year from the date on which the relevant dispute, claim, or request arose.

  2. If a user fails to bring such claim within the foregoing period, the relevant dispute, claim, or request shall be deemed permanently waived, except where applicable law expressly prohibits shortening the limitation period or waiving the relevant rights.

  3. This section shall not limit the right of Good Morning Technology, LLC, GM Wallet, GM Gas, or their affiliated services to bring claims, seek interim measures, injunctive relief, asset preservation, evidence preservation, or take other legal action in connection with a user’s breach of these Terms, infringement of intellectual property rights, system attacks, fraud, abuse of services, unlawful conduct, sanctions evasion, harm to the platform, harm to other users, or harm to third-party rights or interests.

22. Governing Law and Dispute Resolution

  1. The formation, validity, interpretation, performance, breach, termination, and dispute resolution of these Terms shall be governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of laws principles; provided that if any mandatory consumer protection, data protection, sanctions, export control, financial regulatory, or other law may not be excluded, such mandatory law shall continue to apply.

  2. Any dispute, claim, controversy, or request arising out of or relating to these Terms, GM Wallet, related services, third-party integrations, On-Chain Interactions, or Digital Asset use, including without limitation the existence, validity, interpretation, performance, breach, termination, or invalidity of these Terms, shall be submitted to the Hong Kong International Arbitration Centre (“HKIAC”) for final resolution in accordance with the HKIAC Administered Arbitration Rules then in force.

  3. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English, unless the parties agree in writing to use Chinese. The arbitral tribunal shall consist of one arbitrator, who shall be appointed or confirmed by HKIAC in accordance with its rules.

  4. The arbitral award shall be final and binding upon both parties and may be recognized and enforced in any court of competent jurisdiction.

  5. Unless otherwise determined by the arbitral tribunal, the losing party shall bear the arbitration fees, arbitrator fees, HKIAC fees, reasonable attorneys’ fees, expert fees, translation fees, investigation costs, enforcement costs, and other reasonable dispute resolution costs.

  6. Notwithstanding the foregoing arbitration agreement, GM Wallet may seek interim measures, injunctive relief, asset preservation, evidence preservation, cessation of infringement, cessation of attacks, protection of intellectual property, protection of trade secrets, or prevention of imminent or expanding harm in any court of competent jurisdiction.

23. Waiver of Class Actions

  1. To the maximum extent permitted by applicable law, users agree that any dispute arising out of or relating to these Terms, GM Wallet, or related services may be brought only in an individual capacity and not as part of any class action, representative action, class arbitration, consolidated action, private attorney general action, or other similar proceeding.

  2. Users may not consolidate their disputes with those of other users, third parties, or any group, unless expressly agreed by GM Wallet in writing or mandatorily required by applicable law.

  3. If all or any part of this section is held to be unenforceable, the unenforceable portion shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

24. Waiver of Jury Trial

  1. To the maximum extent permitted by applicable law, each party irrevocably waives any right to a trial by jury in any dispute arising out of or relating to these Terms, GM Wallet, related services, third-party integrations, On-Chain Interactions, or Digital Asset use.

  2. If any dispute proceeds in court due to mandatory legal requirements or any other reason, the parties nevertheless agree to waive trial by jury to the maximum extent permitted by applicable law.

25. Force Majeure

GM Wallet shall not be liable for any failure or delay in performance caused by natural disasters, war, terrorist attacks, riots, governmental actions, regulatory measures, sanctions, changes in law, cyberattacks, hacking incidents, communication failures, power failures, network operator failures, mobile operating system failures, cloud service failures, blockchain network congestion or downtime, node failures, smart contract vulnerabilities, Third-Party Service interruptions, labor events, epidemics, unforeseeable technical events, or any other event beyond its reasonable control.

26. Amendments to These Terms

  1. GM Wallet may amend these Terms from time to time based on business development, changes in law, regulatory requirements, security needs, technical adjustments, or changes in Third-Party Services.

  2. The amended Terms may be published through in-app notices, website announcements, version updates, pop-ups, electronic notices, or other reasonable means. The amended Terms shall take effect upon publication or on the effective date stated in the relevant notice.

  3. If you do not agree to the amended Terms, you must stop using GM Wallet. Your continued use of GM Wallet after the amendment of these Terms shall be deemed your acceptance of the amended Terms.

27. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, such provision shall be modified, interpreted, or severed to the minimum extent necessary, without affecting the validity and enforceability of the remaining provisions. The parties shall replace such provision with a valid provision that most closely reflects the commercial purpose and legal effect of the original provision.

28. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without GM Wallet’s prior written consent. GM Wallet may assign its rights and obligations under these Terms in connection with any merger, reorganization, asset transfer, business adjustment, affiliate arrangement, or other legally permitted reason.

29. Entire Agreement and Language

  1. These Terms, together with the Privacy Policy, supplemental terms, risk notices, campaign rules, and third-party descriptions referenced herein, constitute the entire agreement between you and Good Morning Technology, LLC with respect to GM Wallet.

  2. The English version of these Terms shall prevail. We may provide versions in other languages for convenience, or identify provisions most relevant to specific features within related services for reference. However, such translations or references are provided for convenience only and shall not constitute a severance, amendment, or separate agreement to these Terms. In the event of any inconsistency or conflict among different language versions, the complete English version shall prevail, unless otherwise mandatorily required by applicable law.

  3. The headings in these Terms are for convenience only and shall not affect the interpretation of any provision.

Please note that no customer support representative, community administrator, or staff member will ask you for your Private Keys, Seed Phrases, Passwords, verification codes, or remote access permissions. You should verify the source of information through official channels and remain vigilant against fraud.
